Licensing & legal terms

The terms that govern your Agent-in-a-Box license — what you can do with it, what happens if your hardware changes, and what we guarantee.

1. Grant of license

Subject to payment of the applicable license fee, LivingCircuits grants you a non-exclusive, non-transferable, perpetual license to install and use Agent-in-a-Box, limited as follows:

  • Solo tier — one (1) physical machine license.
  • Business tier — up to three (3) physical machine licenses under a single purchasing entity.

This is a one-time purchase. No recurring subscription fee applies for continued use of the licensed software version.

2. Hardware binding and device limits

Please read before installing: Agent-in-a-Box is cryptographically bound to the physical hardware of the device it's first activated on, using a hardware fingerprint. Each license activates on exactly one device per seat.

The software will not function — and license validation will fail — if you attempt to run it on a different device than the one it was originally activated on, without going through the re-issuance process described below.

3. Hardware failure and re-issuance

Hardware fails, gets replaced, or gets upgraded. We account for that:

  • You may request a one-time license re-issuance to new hardware, at no charge, per purchased seat, for the lifetime of the license.
  • To request it, contact support with your Order ID or original purchase receipt.
  • Once verified, we invalidate the license bound to your old hardware and issue a new one bound to the replacement device.
  • Re-issuance requests beyond the first free instance may be granted at our discretion and may carry a reasonable administrative fee.

4. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the software's compiled binaries.
  • Circumvent, disable, or tamper with the hardware-lock or license validation mechanism.
  • Resell, sublicense, rent, or distribute the software or license credentials to a third party.
  • Use the software to develop a competing product.

5. Data ownership and processing

All data you ingest into Agent-in-a-Box — documents, files, and any derived embeddings or vector indexes — remains your sole property at all times. The software processes data entirely on your local hardware and does not transmit it to LivingCircuits or any third party as part of normal operation.

6. Warranty disclaimer

The software is provided "as is" without warranty of any kind, express or implied. We don't warrant that AI-generated answers or compliance labels are accurate, complete, or suitable for any specific regulatory or legal purpose — you remain responsible for independently verifying any compliance-relevant output before relying on it.

7. Refunds
